Article I- Name

The name of this Corporation is The Master’s Church of the Piedmont.  It is a North Carolina nonprofit religious Corporation.

Article II- Location of Offices

The principal office of this Corporation shall be in Alamance County, North Carolina.

Article III- Purpose

Section I- Purpose of the Corporation

This Corporation is organized for exclusively religious purposes (including charitable, eleemosynary, and educational purposes common to a pastoral church ministry as defined by Scripture).  Our commission is summarized as follows: “And Jesus came up and spoke to them, saying, ‘All authority has been given to Me in heaven and on earth.  Go therefore and make disciples of all the nations, baptizing them in the name of the Father and the Son and the Holy Spirit, teaching them to observe all that I commanded you; and lo, I am with you always, even to the end of the age’” (Matthew 28:18-20).

Article V- Corporate Membership

The Corporation shall have no members. Any action that would otherwise require approval by a majority of all members shall only require approval of the Board of Elders. All rights that would otherwise vest in the members shall vest in the Board of Elders. However, nothing contained this Article shall be construed to limit the right of the Corporation to refer to persons associated with the Corporation as ‘members’ even though such persons are not corporate members, and no such reference in or outside of the Bylaws shall constitute anyone being a member of the Corporation. The Corporation may confer by amendment of its Articles of Incorporation or of its Bylaws some or all of the rights of a member, as set forth in North Carolina Law, upon any person or persons who do not have the right to vote for the election of officers, or on a disposition of substantially all of the assets of the Corporation, or on a merger, or on a dissolution, or on changes to the Corporation’s Articles of Incorporation or Bylaws, but no such person shall be a member of the Corporation.

Article VI- Church Membership

Section I- Eligibility for Membership

Active membership in The Master’s Church shall be open to all persons who confess Jesus Christ as their Lord and Savior and who have been baptized by immersion subsequent to that confession. Applications for membership will be considered by the Board of Elders (or by a duly appointed committee of the Board, per Article XI, Section IV). Membership shall not be assignable inter vivos by any member nor shall membership vest to any personal representative, heir, or devisee.

Section II- Denial of Membership

If, upon review of an application for membership or after meeting with a prospective member, the Board of Elders determines that the applicant does not confess Jesus Christ as his or her Lord and Savior, or that there is a lack of evidence of a godly lifestyle, membership shall be denied. The decision made by the Board shall be final and there shall be no appeal to any court from that decision.

Section III- Admission of Applicants

Applicants admitted to membership shall, if possible, present themselves at a worship service designated by the Pastor-Teacher and Board of Elders, at which service such applicants shall publicly affirm their membership commitment and be publicly acknowledged as members.

Section IV- Responsibilities of Members

Members shall seek to exercise their spiritual gifts for the mutual benefit of all the church body and shall submit to the loving rule of the Elders.

Section V- Church Discipline

  1. The threefold purpose of church discipline is to glorify God by maintaining purity in the local church (1 Corinthians 5:6), to edify believers by deterring sin (1 Timothy 5:20), and to promote the spiritual welfare of the offending believer by calling him or her to return to a biblical standard of doctrine and conduct (Galatians 6:1).
  2. Members of this Church and all other professing Christians who regularly attend or fellowship with this church who err in doctrine, or who engage in conduct that violates Scripture as determined by the Board of Elders, shall be subject to church discipline, including dismissal according to Matthew 18:15-18. Before such dismissal, however,
  3. the warning member shall again go to the erring individual, seeking his or her repentance, but accompanied by one or two individuals who shall confirm that the sin has occurred or is continuing to occur, and/or that the erring individual has been appropriately confronted and has refused to repent. If the erring individual still refuses to heed this warning, then
  4. it shall be brought to the attention of the Board of Elders (or a duly appointed committee of the Board, per Article XI, Section IV). If the Board of Elders (or a duly appointed committee of the Board, per Article XI, Section IV) determines after thorough investigation in accord with the procedures prescribed by pertinent Scripture, including Matthew 18:15-18, 1 Timothy 5:19, and Titus 3:10, that there is corroborating evidence that the erring individual has sinned or is continuing to sin, that he or she has been appropriately confronted, and that he or she has refused to repent, then the Elders shall inform the Church and the congregation thereof at a regularly scheduled worship service in order that the Church may call the erring individual to repentance. If the erring individual demonstrates repentance, then notice to that effect may be given at a regularly scheduled worship service. If, however, the erring individual does not repent in response to the Church in its collective call to repentance, then
  5. he or she shall be publicly dismissed from the fellowship and/or membership of the Church and the congregation thereof at a regularly scheduled worship service. If the erring individual, after such dismissal, heeds the warning, demonstrates repentance, and requests reinstatement before the Board of Elders (or a duly appointed committee of the Board, per Article XI, Section IV), then he or she shall be publicly restored to all the rights, duties, privileges, and responsibilities of fellowship and/or membership.
  6.  Notwithstanding the foregoing, the elders in the exercise of their discretion may proceed directly to the third stage of church discipline, (i.e. the informing of the Church and the congregation thereof at a regularly scheduled worship service in order that the church may  call the erring individual  repentance) and then to the fourth stage of church discipline, (i.e. the dismissal from the fellowship and/or membership of the Church) when one or more of the following have occurred;
  7. Where the transgression and the refusal to repent have been public, i.e. openly and to the offense of the whole Church (1 Corinthians. 5:1-5)
  8. Where the first and second stages of church discipline have effectively occurred simultaneously;
  9. Where the disciplined party has taught or otherwise disseminated doctrine deemed false or erroneous by the elders, then chosen to disregard the direction and reproof of the elders (Romans 16:17); or
  10. Where the disciplined party has been warned once by the Elders), or a duly constituted subcommittee thereof, per Article XI, Section IV) to cease from factious and divisive conduct and has chosen to disregard that warning (Titus 3:10-11).
  11. The members of this Church, and all other professing Christians who regularly attend or fellowship with this Church, agree that there shall be no appeal to any court because of the dismissal or because of public statements to the congregation at the third or fourth stages of church discipline. Members who are under discipline by the Church, as defined in the previous paragraph, forfeit and waive the right to resign from this Church. Resignations from membership are possible only by members who are in good standing and who are not under any disciplinary action.
  12. Separate and apart from the process of church discipline, but subject to the discretion and approval of the Elders (or a duly constituted subcommittee thereof, per Article XI, Section IV), a member, non-member, regular attender, or other individual may be notified that he or she is not to be present upon Church premises for such a period of time as is deemed necessary for the safety and well-being of others on Church premises. Such required absence may, but need not, be concurrent with Church discipline of that person.
  1.       Separate and apart from the process of church discipline, but subject to the discretion and approval of the Elders (or a duly constituted subcommittee thereof, per Article XI, Section IV), the names of any    members who have not attended a worship service, Sunday School class session or Fellowship Group meeting of The Master’s Church for a period of six months or longer may be removed from the membership rolls.

Section VI- Voting Privileges

Membership in this church shall not vest in any member any proprietary rights in the Corporation, but shall only entitle the member to vote at a meeting of the members on those matters that the Board of Elders chooses to submit to the church membership for affirmation.  In such cases, voting privileges are restricted to members who are in good standing, who are not under any disciplinary action, and who have reached their eighteenth (18) birthday. Voting by proxy is not allowed. Those admitted to church membership do not constitute a legislative body, nor do they constitute members of the Corporation, and they cannot vote, pass resolutions binding upon the Corporation, nor shall they have any equity in the real property of the Corporation, or rights to vote on its disposal. Said property of the Corporation is dedicated to religious and charitable purposes as stated in the Articles of Incorporation.

Section VII- Regular Membership Meetings

A regular annual meeting of the Church members shall be held at a place designated by the Board of Elders in August of each year. At such regular annual meeting, the members shall consider reports of the affairs of the Corporation, and transact such other business as the Elders determine shall be brought before the meeting.

In addition thereto, notice shall be published in the regular church bulletin for two successive Sundays prior to such meeting. Notice of special meetings shall be given from the pulpit at least seven (7) days prior to the meeting and shall also be published in the regular church bulletin on the Sunday immediately preceding the meeting.

Section X- Quorum for Membership Meetings

At all meetings of the members, whether regular or special, the members present shall constitute a quorum for the transaction of business.

Appendix II- Initial Ministry Vision Statement

Since God is able to do far more abundantly beyond all that we ask or think, according to the power that works within us, we should never stop dreaming great dreams and making bold plans to reflect His glory to the world. The following reflects our vision for ministry. These are just some of the things we hope that God will accomplish in and through The Master's Church in the days ahead.
  1. We envision sharing the good news that Christ died for sinners and rose again with thousands of people in Alamance and Guilford counties and beyond and seeing many of them come to have life in His Name.
  2.  We envision becoming a church where the hopeless, the hurting, the discouraged, the depressed, and the confused can find love, hope, encouragement, and solid Biblical answers to life's problems.
  3. We envision becoming a fellowship of changed lives. We anticipate seeing Christ's power grant many people victory over sins, healing in their marriages and families, and genuine Christian growth.
  4. We envision that our worship services will be reverent, yet filled with joy and excitement. They will be contemporary and culturally relevant.
  5. We envision equipping all of our members to live holy lives that reflect God's glory through verse by verse Bible teaching and preaching, mentoring relationships, a Christian growth track, small groups, Sunday School, ministries to youth and children, and special events.
  6. We envision helping every one of our members to discover their spiritual gifts and to become actively engaged in ministry.
  7. We envision equipping all of our members to confidently and effectively share their faith.
  8. We envision a region-wide network of small groups where our people model Biblical fellowship- caring for one another, meeting each other’s needs, and considering how to stimulate one another to love and good deeds.
  9. We envision God using us to build strong families as we offer frequent Biblical pre-marital, marriage, and parenting, classes.
  10. We envision recruiting, training, and sending out many of our members to be pastors, church planters, and missionaries all over the world. We also see many of our members participate in short-term missions service around our nation and around the globe. We also want to be involved in starting at least one new church every five years.
  11. We envision being able to teach the Bible to thousands of people in our region through a daily radio broadcast.
  12. We envision working to establish strong and highly effective ministries to students at our two local colleges.
  13. We envision acquiring our own facility so that we can accommodate growth and be more visible and accessible to our community. We envision a facility will allow us to have ample room for worship, Sunday school classes, prayer meetings, fellowships, recreational activities, etc.
  14. We envision that one-day we will have a Bible Institute.
  15. We envision that Christ will build us up and mature us to be an example of faithfulness to the New Testament that other churches can look to as an excellent example.
We know that if we remain faithful to God there is no limit to what He can do through us for His glory!

Hebrews 1:1-3

God, after He spoke long ago to the fathers in the prophets in many portions and in many ways, in these last days has spoken to us in His Son, whom He appointed heir of all things, through whom also He made the world. And He is the radiance of His glory and the exact representation of His nature, and upholds all things by the word of His power. When He had made purification of sins, He sat down at the right hand of the Majesty on high.  (NASB)

Colossians 3:14-17

Let the word of Christ richly dwell within you, with all wisdom teaching and admonishing one another with psalms and hymns and spiritual songs, singing with thankfulness in your hearts to God. Whatever you do in word or deed, do all in the name of the Lord Jesus, giving thanks through Him to God the Father. (NASB)
